1. Repayment will not be made, if the borrower or her legal successors, including heirs sublease the lease period of the land listed below leased by the lenders according to the renewal options of the lease agreement for a further 2 lease periods of thirty years each to the lenders or their legal successors until the 01.04.2103. Heirs, as well as lessees or buyers of the land are considered as legal successors.
2. Any due payments by the lender to the borrower, respectively her successors later than the 01.04.2043 for the renewal of the lease agreement will not be made anymore , or have been settled already by the payment of THB 4,890,000.00 mentioned above.
3. In case the borrower, respectively her legal successors refuse to enter a new lease agreement for a further 30 years after 01.07.2043 and 01.07.2073 in each case with the lenders ,the amount borrowed is due to repayment.
Repayment has to be settled within 14 days.
4. The amount borrowed is also due to repayment, if the borrower or her legal successors sell or sublease the land mentioned above to others without the consent of the lenders.
5. If any terms or conditions of this Agreement becomes or is declared invalid or unenforceable for any reasons whatsoever such term or condition shall not affect or impair the validity or enforceability of other terms or conditions of this Agreement. If deletion of such invalid or unenforceable terms and conditions substantially or materially affects or alters the objective of this Agreement, the Parties shall in good faith negotiate to amend or modify the terms or conditions thereof as may be necessary or desirable under the circumstances. This also applies for any gaps in this agreement.
